2. About NyumbaHub

NyumbaHub is an online property marketplace and tenant management portal operated by Flex Analytics Uganda (Company Registration No. [REG NO.]), a company incorporated under the laws of Uganda, with its principal office in Kampala, Uganda.

The Platform enables landlords and property managers to list verified residential and commercial properties, and allows prospective tenants to search listings, save favourites, submit rental applications, and — once a lease is active — manage their tenancy through a dedicated tenant portal.

NyumbaHub is a technology intermediary only. We are not a real estate agent, property manager, or party to any rental or lease agreement facilitated through the Platform. See Section 8 for our full intermediary disclaimer.

3. Eligibility

To use NyumbaHub you must:

• Be at least 18 years of age;
• Have the legal capacity to enter into a binding contract under Ugandan law;
• Not have been previously suspended or removed from the Platform for a violation of these Terms.

By creating an account, you represent and warrant that you meet all of the above eligibility requirements. We reserve the right to verify your identity and eligibility at any time.

4. Accounts

4.1 Registration

You may browse publicly available property listings on NyumbaHub without creating an account. To save favourite properties, submit a rental application, or access the tenant portal, you must register for a free account using accurate and complete information.

You may also create an account by accepting an invitation sent by a landlord or property manager through the Platform. Both registration paths are equally valid and create the same type of account.

4.2 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at dataflex.ug@gmail.com if you suspect any unauthorised use of your account.

4.3 Accuracy of information

You agree to provide truthful, accurate, and up-to-date information when registering and at all times during your use of the Platform. Providing false or misleading information — including in a rental application — is a violation of these Terms and may result in immediate account suspension.

4.4 One account per user

Each individual or entity may maintain only one active account on NyumbaHub. Creating duplicate or fraudulent accounts is prohibited.

5. User types and roles

5.1 Tenants

Tenant accounts allow users to search and browse property listings, save favourites, submit rental applications, schedule property visits, and — once linked to an active lease — access the full tenant portal to manage their tenancy.

5.2 Landlords

Landlord accounts allow property owners to create and manage property listings (subject to verification — see Section 7), invite tenants, manage lease agreements, track maintenance requests, and access the landlord dashboard. Landlords are subject to a subscription fee to access the platform's property management features.

5.3 Property managers

Property managers may be granted access by a landlord to manage one or more properties on their behalf. Property managers are bound by these Terms in the same way as landlords with respect to the properties they manage.

6. Platform rules — acceptable use

You agree that you will not use NyumbaHub to:

• Post false, misleading, or fraudulent listings or applications;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Harass, threaten, or abuse any other user of the Platform;
• Transmit spam, unsolicited communications, or malware;
• Attempt to gain unauthorised access to any account, system, or data on the Platform;
• Scrape, crawl, or extract data from the Platform by automated means without our prior written consent;
• Use the Platform for any purpose that violates applicable Ugandan law or regulation;
• Circumvent any security or authentication measures on the Platform.

We reserve the right to investigate suspected violations and to suspend or permanently terminate accounts that breach these rules, without prior notice where necessary to protect the Platform or other users.

7. Property listings

7.1 Verification

All properties listed on NyumbaHub are subject to a verification process conducted by Flex Analytics Uganda before the listing goes live. This process is designed to reduce fraudulent listings, but we do not guarantee the accuracy or completeness of any listing. Users are encouraged to conduct their own due diligence before entering into any rental agreement.

7.2 Landlord responsibilities

Landlords and property managers are solely responsible for ensuring that the content of their listings — including descriptions, photos, pricing, and availability — is accurate, lawful, and up to date at all times.

7.3 Prohibited listing types

The following types of listings are expressly prohibited on NyumbaHub:

• Land sales: The Platform does not support, facilitate, or allow the listing of land for sale.
• Land rental / leasing: The Platform does not support the listing of bare land for rental or leasing purposes.
• Any listing that violates applicable Ugandan law, including properties with unresolved legal disputes or without proper ownership documentation.
• Listings intended to defraud, deceive, or mislead users.

We reserve the right to remove any listing that violates these restrictions without notice to the landlord.

8. Intermediary disclaimer

NyumbaHub is a technology platform and intermediary only. We connect landlords and tenants through our digital platform but we are not a party to, and do not participate in or contribute to, any rental agreement, lease, or other contract entered into between a landlord and a tenant through the Platform.

All terms, conditions, pricing, obligations, and rights relating to a specific tenancy — including lease duration, rent amounts, deposit arrangements, and move-out conditions — are agreed exclusively between the landlord and the tenant. Flex Analytics Uganda bears no responsibility or liability for the content, enforceability, or performance of any such agreement.

Any disputes arising out of a tenancy or lease agreement are solely between the landlord and the tenant. While NyumbaHub may facilitate communication between parties through the Platform, we are under no obligation to mediate, arbitrate, or otherwise resolve such disputes.

9. Payments

9.1 Landlord subscriptions

Landlords are required to pay a subscription fee to access NyumbaHub's property management features. Subscription payments are processed by our third-party payment partners PesaPal and MTN Mobile Money. By making a payment, you also agree to the terms and conditions of the applicable payment processor.

9.2 Tenant payments

Rent payment functionality for tenants is not currently available on NyumbaHub. Any rent payments made between tenants and landlords are conducted outside the Platform and are solely the responsibility of the parties involved. Flex Analytics Uganda is not liable for any such transactions.

9.3 No storage of payment credentials

We do not store credit card numbers, bank account details, mobile money PINs, or any other sensitive payment credentials. All payment processing is handled entirely by our third-party processors.

9.4 Refund policy

Subscription fees are non-refundable except where required by applicable Ugandan law. If you believe you have been incorrectly charged, please contact us at dataflex.ug@gmail.com within 14 days of the charge.

10. Intellectual property

The NyumbaHub platform, including its name, logo, design, software, and all content created by Flex Analytics Uganda, is the intellectual property of Flex Analytics Uganda and is protected by applicable Ugandan and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our express written permission.

By uploading content to NyumbaHub (such as property photos, listing descriptions, or documents), you grant Flex Analytics Uganda a non-exclusive, royalty-free licence to display and use that content solely for the purpose of operating and improving the Platform. You retain all ownership rights in your content.

11. Privacy

Your use of NyumbaHub is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully to understand how we collect, use, and protect your personal data.

12. Limitation of liability

To the fullest extent permitted by Ugandan law, Flex Analytics Uganda, its directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, or consequential loss or damage arising from your use of the Platform;
• Any loss or damage arising from a rental agreement, tenancy dispute, or interaction between a landlord and a tenant facilitated through the Platform;
• Any inaccuracy in a property listing, whether or not the listing has been verified;
• Any unauthorised access to your account due to your failure to maintain the security of your credentials;
• Any interruption or unavailability of the Platform due to maintenance, technical issues, or circumstances beyond our reasonable control.

Nothing in these Terms limits our liability for fraud, gross negligence, or any other liability that cannot be excluded by law.

13. Termination

13.1 By you

You may close your account at any time through your account settings or by contacting us at dataflex.ug@gmail.com. Upon closure, your data will be retained for 6 months as described in our Privacy Policy, after which it will be permanently deleted.

13.2 By us

We reserve the right to suspend or permanently terminate your account, with or without notice, if we determine that you have breached these Terms, engaged in fraudulent activity, or posed a risk to other users or to the integrity of the Platform. We also reserve the right to discontinue the Platform entirely with reasonable advance notice to users.

13.3 Effect of termination

Sections 8 (Intermediary disclaimer), 10 (Intellectual property), 12 (Limitation of liability), 14 (Disputes), and 16 (Governing law) shall survive termination of these Terms.

14. Disputes

14.1 Resolution process

If you have a dispute with Flex Analytics Uganda arising out of these Terms or your use of the Platform, we encourage you to contact us first at dataflex.ug@gmail.com to attempt to resolve the matter informally. We will make reasonable efforts to address your concern within 14 business days.

14.2 Formal proceedings

If the dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the High Court of Uganda at Kampala.

14.3 Tenant–landlord disputes

As stated in Section 8, NyumbaHub is not a party to any tenancy agreement. Disputes between tenants and landlords are not disputes with Flex Analytics Uganda and must be resolved between those parties directly, through mediation, or through the relevant Ugandan legal process.

15. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address registered on your account) and/or by a prominent notice on the Platform at least 30 days before the changes take effect.

If you do not agree to the updated Terms, you must stop using the Platform and may close your account before the new Terms take effect. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those Terms.

16. Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict of law principles.
